Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the BIIOtech platform ("Platform", "Service"), operated by ZM-BIOTECH ("Company", "we", "us", or "our"), trading as BIIOtech. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or otherwise using the BIIOtech Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. These Terms constitute a legally binding agreement between you ("User", "you", or "your") and ZM-BIOTECH.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Service following any modifications constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include that organization.

2. Description of Service

BIIOtech is a cloud-based bioinformatics Software-as-a-Service (SaaS) platform designed to facilitate the analysis, processing, visualization, and management of biological and genomic data. The Service provides tools for, but not limited to:

• Genomic sequence analysis and alignment
• Gene expression profiling and differential analysis
• Variant calling and annotation
• Pathway and functional enrichment analysis
• Data visualization and reporting
• Collaborative project management for research teams
• Secure storage and retrieval of biological datasets

The Platform is intended for use by researchers, scientists, and professionals in the fields of bioinformatics, genomics, molecular biology, and related disciplines. The Service is provided on a subscription basis, and specific features may vary depending on your subscription plan.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. User Accounts

To access the Platform, you must register for an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

• Provide truthful and accurate registration information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to or use of your account
• Not share your account credentials with any third party
• Not create multiple accounts for the purpose of circumventing restrictions

We reserve the right to suspend or terminate accounts that are inactive for an extended period, that violate these Terms, or that are used for unauthorized purposes. You are solely responsible for any consequences arising from your failure to safeguard your account credentials.

Institutional accounts may be subject to additional terms governing multi-user access, administrative privileges, and data sharing within the organization. Such terms will be communicated separately and form part of these Terms.

4. Intellectual Property

All intellectual property rights in the Platform, including but not limited to software, algorithms, analytical pipelines, user interface designs, documentation, trademarks, logos, and any derivative works, are and shall remain the exclusive property of ZM-BIOTECH and its licensors. These Terms do not grant you any ownership rights in the Platform or its underlying technology.

You retain all ownership rights to the data, datasets, and biological information you upload to the Platform ("User Data"). By uploading User Data, you grant ZM-BIOTECH a limited, non-exclusive license to process, store, and analyze your data solely for the purpose of providing the Service to you.

You shall not:

• Copy, modify, or create derivative works of the Platform or any part thereof
• Reverse engineer, decompile, or disassemble any aspect of the Platform
• Remove or alter any proprietary notices or labels on the Platform
• Use the Platform to develop a competing product or service
• Sublicense, sell, or redistribute access to the Platform without written authorization

Any feedback, suggestions, or improvements you provide regarding the Platform may be used by ZM-BIOTECH without restriction or obligation to compensate you.

5. Data Processing & Usage

ZM-BIOTECH is committed to handling your data responsibly and in compliance with applicable data protection regulations. The processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

With respect to scientific and biological data processed through the Platform:

• User Data is processed exclusively for the purpose of delivering the requested analytical services and functionality
• We implement industry-standard encryption and security measures to protect data in transit and at rest
• We do not sell, share, or disclose your User Data to third parties except as required to provide the Service or as mandated by law
• Aggregated, anonymized, and de-identified data may be used for platform improvement, statistical analysis, and research purposes, provided such data cannot reasonably be used to identify any individual or specific dataset
• You are responsible for ensuring that any data uploaded to the Platform complies with applicable laws, ethical guidelines, and institutional policies, including but not limited to informed consent requirements for human-derived data

Upon termination of your account, you may request the export or deletion of your User Data in accordance with our data retention policies. We will make commercially reasonable efforts to fulfill such requests within thirty (30) business days.

You acknowledge that certain analytical processes may require temporary storage of intermediate computational results. Such intermediate data will be handled with the same level of security as your primary User Data and will be deleted upon completion of the analysis unless otherwise specified.

6. Scientific Data Disclaimer

The BIIOtech Platform provides computational tools for bioinformatics analysis. The results generated by the Platform are intended for research and informational purposes only and should not be used as the sole basis for clinical, diagnostic, or therapeutic decisions.

You expressly acknowledge and agree that:

• Analytical results are dependent on the quality, completeness, and accuracy of the input data provided by you
• Bioinformatics analyses involve inherent uncertainties, and results should be independently validated through appropriate experimental methods
• The Platform does not provide medical advice, clinical diagnoses, or treatment recommendations
• Reference databases, annotations, and algorithms used by the Platform are subject to updates and revisions, which may affect reproducibility of previous results
• ZM-BIOTECH makes no warranties regarding the accuracy, completeness, or fitness for a particular purpose of any analytical output

It is your responsibility to apply appropriate scientific judgment when interpreting results and to comply with all applicable regulatory requirements for your specific use case.

7. Limitation of Liability

To the fullest extent permitted by applicable law, the Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

In no event shall ZM-BIOTECH, its directors, officers, employees, affiliates, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of data, revenue, profits, or business opportunities
• Interruption of research or business operations
• Cost of procurement of substitute services
• Damages arising from unauthorized access to or alteration of your data
• Damages resulting from errors, inaccuracies, or omissions in analytical outputs

Our total aggregate liability for any claims arising out of or related to these Terms or the use of the Service shall not exceed the total amount paid by you to ZM-BIOTECH during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

8. Termination

You may terminate your account at any time by contacting us or using the account management features available on the Platform. Upon termination, your right to access the Service will cease immediately.

ZM-BIOTECH may suspend or terminate your access to the Platform at any time, with or without cause, including but not limited to:

• Violation of these Terms or any applicable laws or regulations
• Conduct that may harm other users, the Platform, or ZM-BIOTECH
• Non-payment of applicable subscription fees
• Extended period of account inactivity
• Request by law enforcement or government authorities

Upon termination, the following provisions shall survive: Intellectual Property, Data Processing & Usage (with respect to data retention and deletion), Scientific Data Disclaimer, Limitation of Liability, and Governing Law.

We will provide a reasonable period for you to export your User Data prior to account deletion, unless termination is due to a material breach of these Terms, in which case immediate suspension may apply. Data retention following termination will be governed by our data retention policy and applicable legal requirements.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ZM-BIOTECH is incorporated, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the use of the Platform shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration or pursue resolution through the competent courts of the applicable jurisdiction.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The failure of ZM-BIOTECH to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
